By-Law Amendment
Be it resolved that:
1.
(a) the following be added to Section 7.04 (1) of PCC #63 By-Law # 1:
“No person may be elected or appointed as a Director of the corporation for more terms than will constitute six (6) consecutive years of service except that a former director may be re-elected or appointed as a Director following a break in the continuous service of at least one (1) year.”
(b) The provision of section 7.04 regarding consecutive years of service shall be applied retroactively except that any director currently on the board who will have reached at least six (6) years of continuous service as a board member at the 2012 Annual Meeting will be allowed to complete his/her current term if it does not expire at the date of the 2012 Annual Meeting.
2. the following be added to Section 7.02 (2):
“…subject to the provisions of Section 7.04 (1)”
3. the following new section, which shall be numbered 7.05, be added and that the current section 7.05 be renumbered to 7.06, 7.06 be renumbered to 7.07…7.10 be renumbered to 7.11:
“Section 7.05 Filling Vacancies
So long as there is a quorum of Directors in office, any vacancy occurring in the Board of Directors may be filled by a qualified person appointed until the next Annual Meeting by the Directors then in office.”
